These terms of use (the “Terms”) govern access to and use of the website www.derabane.com and its subdomains, including https://portfolio.derabane.com/ (collectively, the “Site”).

The Site is operated by deRabane Canada Inc., a corporation duly incorporated in Canada with its head office in Montréal, Québec, and by deRabane, a simplified joint-stock company (Société par actions simplifiée) registered with the Paris Trade and Companies Register under number 897 651 600, having its registered office at 4 rue Maître Albert, 75005 Paris (collectively, the “Agency”).

Use of the Site constitutes a contract between you and the Agency and is subject to these Terms.

The Agency may at any time, without prior notice, modify, update, or remove all or part of the Terms or the content of the Site.

1- ACCEPTANCE OF THE TERMS

By accessing, browsing, or using the Site (the “Use”), all users (“you” or the “users”) agree to be bound by these Terms. If you do not accept these Terms, please do not use the Site.

2- Use of the site

The Agency grants you a limited, non-exclusive, non-transferable, non-assignable, and revocable right to access and temporarily download the content displayed on the Site for non-commercial purposes, for your personal use or that of your business.

  • comply with all applicable laws and regulations; 
  • respect intellectual property and privacy rights; 
  • not upload, post, transmit, or store any content that is unlawful, fraudulent, defamatory, misleading, offensive, threatening, or otherwise objectionable; 
  • not disrupt the normal operation of the Site, including by introducing viruses or malicious content;

  • not attempt to bypass or circumvent the Site’s security measures; 
  • not use automated tools (such as bots, crawlers, or scripts) without authorization;

By submitting information on the Site, you grant the Agency a worldwide, non-exclusive, irrevocable, and royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such information.

The Agency may share this information with clients or partners. The Agency does not guarantee the accuracy or reliability of submitted information and reserves the right to remove it at its discretion.

The Agency may retain and disclose such information if necessary to protect its rights, ensure the integrity of the Site, or comply with legal obligations.

5- Termination

The Agency may, at any time and without notice, suspend, modify, or discontinue the Site or access to it.

The trademarks and logos displayed on the Site are the property of the Agency or third parties. No rights or licenses are granted without prior written consent.

13- Place of operation and jurisdiction

The Site is operated by the Agency from its offices located, among others, in Montréal, Québec, Canada, and Paris, France.

These Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada, except where mandatory provisions provide otherwise.

Subject to such provisions, any dispute shall be submitted to the exclusive jurisdiction of the courts of the district of Montréal.

14- General

These Terms constitute the entire agreement between you and the Agency regarding your use of the Site.
